The Competition Commission of India has approved the proposed acquisition of a partial stake in Restaurant Brands Asia Limited by a consortium led by Lenexis Foodworks Private Limited.
The transaction will be executed through a combination of equity subscriptions, warrant subscriptions, equity purchases and an open offer, according to the competition regulator.
The consortium includes Inspira Foodworks Private Limited, Aayush Agrawal Trust, Inspira Agro Trading LLC and Aayush Madhusudan Agrawal.
In a post on X, the CCI said it had approved the acquisition of a certain stake in Restaurant Brands Asia by the Lenexis-led consortium.
Restaurant Brands Asia is the national master franchisee for Burger King in India and holds exclusive rights to develop, operate and franchise Burger King restaurants across the country.
Lenexis Foodworks operates several quick service restaurant brands in India, including Chinese Wok, The Momo Co and Big Bowl Co.
According to the filing, Inspira Foodworks is expected to serve as a strategic investment and operating vehicle to support the expansion of Lenexis Foodworks’ QSR business.
The regulator’s approval is mandatory for deals crossing specified financial thresholds under India’s competition law framework aimed at preventing unfair market practices and ensuring fair competition.
